Draft a freelance contract, project proposal, SOW, NDA, or MSA with jurisdiction-appropriate clauses.

What it does

Draft a freelance contract, project proposal, SOW, NDA, or MSA with jurisdiction-appropriate clauses.

Procedure

When this skill is activated, Chalie follows these steps:

  1. Use memory to recall any standard terms, rate cards, or client preferences stored from prior sessions before gathering requirements.
  2. Ask what document type is needed, the jurisdiction, engagement type (fixed-price, hourly, or retainer), party details, contract value, dates, and any special requirements — then record in document.
  3. Use search to verify jurisdiction-specific legal standards or required clause structures (e.g. GDPR DPA for EU, BGB considerations for Germany) if any are uncertain.
  4. Use document to draft the complete contract in structured markdown with all required clauses: services, payment terms, IP ownership, confidentiality, warranties, liability cap, termination conditions, and dispute resolution.
  5. In document, flag any missing information as REQUIRED with a placeholder, and annotate jurisdiction-specific notes inline.
  6. Use search to cross-check any clause wording against current jurisdiction guidance if the engagement is high-value or cross-border.
  7. Present the draft from document for review and refine based on the user’s feedback.
  8. Save the finalised contract using document and remind the user to review with an attorney for high-value engagements.
